1. Agreement to these terms
These Terms & Conditions govern access to and use of WholesalePepClub.com, its wholesale membership application, private catalog, ordering tools, document uploads, and related services. By using the website, submitting an application, or placing an order, you agree to these terms. If you act for a business, you confirm that you are authorized to bind that business.
2. Business eligibility and account approval
The portal is intended only for legitimate businesses and authorized business representatives. Applicants must provide accurate and complete business, ownership, contact, tax, website, and address information, including a completed Form W-9 when requested. Applications are reviewed manually. Submission does not guarantee approval, and we may request additional documentation, deny an application, suspend access, or revoke membership when information cannot be verified or these terms are violated. Please allow 24–48 hours for approval.
3. Account security
Approved members are responsible for maintaining the confidentiality of their login credentials and for all activity performed through their account. Notify us promptly if you suspect unauthorized access. Accounts may not be sold, transferred, or shared outside the approved business.
4. Catalog information and availability
Catalog content, product availability, specifications, minimums, and wholesale pricing may change. The website reflects information published from our designated catalog source, but a displayed item or price is not a guarantee of availability or acceptance. We may correct errors, reject orders, limit quantities, or discontinue products before an order is confirmed.
5. Orders and acceptance
Submitting an order through the portal is a request to purchase and does not create a binding sale until we review and accept it. We may contact you to confirm quantities, shipping, services, compliance information, or payment instructions. An order may be declined or adjusted when inventory, pricing, verification, legal, safety, or operational requirements are not satisfied.
6. Payment
The portal does not currently process credit-card payments. After an order is reviewed, approved customers will receive separate payment instructions. Same Day ACH, Zelle, and wire transfer may appear as future or informational options but are not available unless we expressly confirm them for a specific order. Never send payment using instructions that have not been verified through an authorized WholesalePepClub contact.
7. Shipping, risk, and inspection
Shipping charges, delivery estimates, carrier terms, title, risk of loss, inspection periods, returns, and replacement eligibility will be stated in the applicable order confirmation or wholesale policy. Delivery dates are estimates unless expressly guaranteed in writing. Customers must provide accurate shipping information and inspect shipments promptly.
8. Custom labels and submitted artwork
Custom label printing may be requested for an additional $40 per label type. Adobe Illustrator (.ai) files are accepted. AI-generated label artwork, including artwork generated by ChatGPT or Claude, is not accepted. If submitted artwork is incomplete, incorrectly prepared, or requires adjustment, a $60 digital preparation fee may apply per label. Detailed printing specifications will be provided separately. You represent that you own or have permission to use every submitted name, logo, design, image, claim, and other element.
9. Verified lab testing services
When offered and accepted, verified lab testing branded with the customer’s company name may be available for $75 per batch, per compound. Testing scope, sample requirements, timing, laboratory availability, verification links, and final charges must be confirmed for each order. Laboratory results apply only to the tested sample or batch and are not a general warranty or regulatory approval.
10. Compliance and prohibited use
You are responsible for determining whether the purchase, labeling, marketing, resale, distribution, possession, and use of products are lawful in every applicable jurisdiction. You may not use the portal for fraud, impersonation, unlawful resale, misleading claims, infringement, interference with the service, unauthorized access, or transmission of malicious code.
11. Intellectual property
The website, catalog presentation, text, graphics, branding, software, and other portal content are owned by or licensed to WholesalePepClub and are protected by applicable intellectual-property laws. Limited access is granted solely for approved wholesale business use. No ownership rights are transferred.
12. Disclaimers and limitation of liability
To the fullest extent permitted by law, the portal and its content are provided “as is” and “as available.” We do not warrant uninterrupted access, error-free catalog data, or that every submitted order will be accepted. To the fullest extent permitted by law, WholesalePepClub will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, data, or business opportunities arising from use of the portal.
13. Indemnification
You agree to defend, indemnify, and hold WholesalePepClub and its personnel harmless from claims, losses, liabilities, and expenses arising from your business information, account activity, submitted artwork, product claims, resale activity, legal noncompliance, or violation of these terms.
14. Changes and termination
We may update these terms by posting a revised effective date. Continued use after an update constitutes acceptance of the revised terms. We may restrict or terminate portal access when reasonably necessary to protect the service, other users, our business, or legal compliance.
